Terms of Service

Version 1.0 · Effective date: August 20, 2026. These terms govern your use of VeriCite. VeriCite is operated by Arkimedos LLC, a California limited liability company ("we," "us").

1. What VeriCite is — and is not

VeriCite is a legal-research tool. It searches a corpus of public judicial opinions, statutes, and rules, and produces research memoranda with citations to those sources. It is software, operated as a beta (pre-release) service.

VeriCite is not a law firm and does not provide legal advice. Use of the service does not create an attorney-client relationship between you and VeriCite or anyone who operates it. The service produces research aid generated in part by artificial-intelligence systems; it can be incomplete, out of date, or wrong. You must read and verify every cited authority before relying on it. If you are not a lawyer, consult one before acting on anything the service produces.

2. Accounts

You sign in with a supported identity provider (currently Google). You are responsible for activity under your account, and you agree to provide accurate information. One account is for one person; do not share credentials. We may suspend an account that violates these terms.

3. Prepaid credits and pricing

Paid features draw on prepaid credits. Prices for each research product are shown before you run it, and each run's charge is drawn from your credit balance. Prices may change prospectively; a change never applies to credits already spent.

Subscriptions. Optional plans auto-renew each cycle and convert every payment into credits at face value on renewal. You can cancel at any time, effective at the end of the current billing period; credits already granted are unaffected by cancellation and remain subject to the refund rule below.

Agent access. API and agent bearer tokens draw on the same credit balance, with per-call prices published through the API before each call is charged.

Subscriptions. A subscription buys a term of service and refills credit each cycle. If you cancel, your subscription credit stays usable until the end of the term you already paid for and expires at that point; subscription payments are not refundable as cash. One-time credit purchases are unaffected by this and remain refundable as described below.

Refunds. Unspent credits you purchased are refundable in full on request, at any time. Credits already spent on completed research runs are not refundable. To request a refund, contact us at the address in §14; we refund to your original payment method.

5. Your responsibility for what you submit

You are responsible for the content you submit and for having the right to submit it. You agree to indemnify us against third-party claims, and the reasonable costs of defending them, to the extent they arise from (a) content you submit that you had no right to submit, (b) your violation of §4, or (c) your unlawful use of the service. This section does not apply to claims arising from our own conduct, and it is not triggered by the ordinary submission of legal documents for research or verification.

6. Your content and our service

You own the research questions and documents you submit. You grant us the license needed to operate the service on them (process them, store them, show them back to you). We own the service, its software, and its design. The judicial opinions, statutes, and rules in the corpus are public records; nothing in these terms restricts your use of the underlying public law. The research memoranda generated for you are yours to use for any purpose; we keep a copy to operate the service (see the Privacy Policy).

7. Beta service; availability

The service is a beta. Features change, coverage has gaps, and availability is not guaranteed. We may modify or discontinue features at any time. If we discontinue the paid service entirely, we will refund unspent credits.

8. Disclaimer of warranties

The service and everything it produces are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, currentness, and non-infringement. No oral or written information obtained from the service creates any warranty.

9. Limitation of liability

To the maximum extent permitted by law, VeriCite's total liability arising out of or relating to the service is limited to the amounts you paid to VeriCite in the twelve months before the event giving rise to the claim. VeriCite is not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or professional discipline or malpractice exposure arising from reliance on service output, even if advised of the possibility.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. If those laws apply to you, some of the exclusions and limits above may not apply, and our liability is limited to the smallest amount the law permits.

10. Termination

You may stop using the service at any time. We may suspend or terminate accounts for violation of these terms. Whatever the reason for termination, unspent credits are refunded — the refund rule in §3 is not a penalty clause, and keeping money for service we will not provide is not how this service works.

11. Governing law and disputes

These terms are governed by California law. Any dispute that cannot be resolved informally belongs in the state or federal courts located in Los Angeles County, California, and both sides consent to that venue. There is no arbitration clause in these terms. Nothing in these terms waives or limits any right you have that the law does not allow to be waived, including rights under the California Consumer Privacy Act.

12. Changes to these terms

We may update these terms. Material changes will be announced on the site or by email to your account address, with the new effective date at the top of this page. Continued use after the effective date is acceptance of the updated terms.

13. General terms

Severability. If any provision of these terms is held unenforceable, it is to be enforced to the maximum extent permissible and, if necessary, reformed to the minimum extent needed to make it enforceable; the remaining provisions stay in effect. Waiver. Our not enforcing a provision is not a waiver of it. Assignment. You may not assign these terms or your account. We may assign these terms in connection with a merger, acquisition, reorganization, or sale of assets; these terms bind and benefit permitted successors and assigns. Entire agreement. These terms and the Privacy Policy are the entire agreement between you and us about the service. Survival. Sections 5, 8, 9, 11, and 13, and any refund obligation accrued before termination, survive termination.
